Terms and Conditions

Welcome to Cub! Cub, a mobile application and web platform operated by Cub4me, Inc. ("Cub4me," "we," "us," or "our"), connects users ("Users") with activity organizers ("Organizers") who offer unique experiences and events ("Activities"). These Terms and Conditions ("Terms") govern your access and use of the Cub app and related services (collectively, the "Platform").

1. General Provisions & Our Role

Cub4me acts strictly as an intermediary platform connecting Users with Organizers. We do not organize, own, or control any Activities offered on the Platform. We are solely responsible for facilitating communication and transactions between Users and Organizers.

2. Platform Currency and Transactions

Primary Currency: All financial transactions on the Platform, including User purchases and Organizer payouts, are processed strictly in United States Dollars (USD).

Display Currencies: Prices displayed in other currencies (e.g., EUR, GEL, AUD) are for informational purposes only. They are calculated using the Platform's internal exchange rates.

Exchange Rates & Fees: The final amount charged to a User's card or paid to an Organizer's bank account may vary depending on their bank's exchange rates and international transaction fees. Cub4me is not responsible for any discrepancies caused by third-party currency conversion.

3. Absolute Platform Rights

To maintain the safety and quality of the Platform, Cub4me reserves the absolute right, at its sole discretion and without prior notice or liability, to:

  • Refuse Service: Deny registration or access to the Platform to any User or Organizer for any reason.
  • Modify Content: Edit, translate, modify, crop, or alter any Activity content (including titles, descriptions, images, and videos) provided by Organizers to fit Platform standards or marketing needs.
  • Remove Content: Delete any Activity, review, or User account at any time.

4. User Conduct and Responsibilities

Users are responsible for carefully evaluating the suitability and safety of any Activity before booking. Users are strictly prohibited from:

  • Uploading illegal, offensive, or untrue content (including reviews).
  • Disrupting the Platform or engaging in fraudulent activity.
  • Impersonating another User or Organizer.
  • Violating any applicable laws or regulations.

5. Disclaimer and Limitation of Liability

Cub4me DISCLAIMS ALL LIABILITY related to:

  • The accuracy, completeness, or safety of Activity content.
  • The quality, safety, or enjoyment of any Activity.
  • Any disputes between Users and Organizers.
  • Any injuries, damages, or losses arising from Activities.

Cub4me's total liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to Cub4me.

Additional Terms for Organizers

Welcome Organizers! These supplemental terms ("Organizer Terms") apply specifically to your use of the Platform to offer and manage Activities.

1. Content and Compliance

Responsibility: You are solely responsible for the accuracy and safety of all content related to your Activities.

Compliance & Insurance: You agree to comply with all applicable local laws and regulations. You are strongly advised, and may be required, to obtain appropriate insurance coverage for your Activities.

2. Fees, Payouts, and Stripe Integration

Cub Fee: Cub4me deducts a 15% commission from every ticket purchased for your Activities.

Payment Processor: Payouts are processed via third-party payment providers (e.g., Stripe). By acting as an Organizer, you also agree to the respective payment processor's Connected Account Agreement.

Ticket Validation: Funds from ticket sales become available for withdrawal only after the guest has attended the activity and the ticket is marked as "Used" or successfully scanned.

Pending Balances: Funds for future events appear as "pending." This protects both you and the guest in case of cancellations. Once the activity is completed, funds move to your available balance.

The $200 Threshold: Automatic payouts are initiated to your provided bank account once your available balance reaches or exceeds $200 USD. Bank processing typically takes 3-4 business days.

3. Taxes

Cub4me acts as a facilitator. We do not collect or remit taxes on your behalf. You are solely responsible for understanding and complying with all applicable tax laws in your jurisdiction regarding the income earned through Cub4me.

4. Refunds and Cancellations

You are responsible for establishing your own refund policies. However, Cub4me reserves the right, in its sole discretion, to issue refunds to Users in exceptional circumstances (e.g., fraudulent activity, severe safety concerns) and to recoup the refunded amount from your pending or future payouts.

Legal & Administrative

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

Updates: Cub4me reserves the right to update these Terms at any time. Your continued use of the Platform constitutes your acceptance of the revised Terms.
